Business Description
Ensco International Incorporated is an international offshore contract drilling company. As of February 29, 2004, its complement of offshore drilling rigs included 43 jackup rigs, seven barge rigs, five platform rigs and one semisubmersible rig. The Company's offshore contract drilling operations are integral to the exploration, development and production of oil and natural gas. It is an international provider of offshore contract drilling services to the oil and gas industry. The Company's operations are concentrated in the geographic regions of North America, Europe/Africa, Asia Pacific and South America/Caribbean. Its contract drilling operations are conducted by a number of subsidiaries, substantially all of which are wholly-owned. On February 20, 2003, the Company reached an agreement to sell its 27-vessel marine transportation fleet. After receipt of various regulatory consents, the transaction was finalized on April 1, 2003.

Financial Information
For the nine months ended 9/30/04, revenues decreased 4% to $558.8 million. Net income from continuing operations fell 21% to $65 million. Results reflect lower day rates and utilization of semisubmersible rigs and ENSCO 7500 and higher interest, depreciation and administration expenses.
