Business Description
DPL Inc., (DPL), is the parent company of Dayton Power and Light Company (DP&L), a public utility that sells electricity to residential, commercial, industrial and governmental customers in a 6,000-square-mile area of West Central Ohio. Electricity for DP&L's 24 county service area is primarily generated at eight coal-fired power plants and is distributed to more than 500,000 retail customers. Principal industries served include automotive, food processing, paper, plastic manufacturing and defense. DP&L provides transmission and wholesale electric service to 12 municipal customers in its service territory, which distribute electricity within their incorporated limits. DP&L also maintains an interconnection agreement with one municipality that has the capability to generate a portion of its energy requirements. The Company's other wholly owned subsidiaries include DPL Energy, LLC (DPLE), MVE, Inc. (MVE), Plaza Building, Inc. and Miami Valley Insurance Company (MVIC).

Financial Information
For the nine monts ended 9/30/04, revenues rose less than 1% to $899.4 million. Net income before acct. change rose 29% to $189.8 million. Results reflect increased electric revenes received due to higher sales volume and increased investment income earned due to a significant realized gains from the financial asset portfolio.
