ConAgra Foods, Inc. is a packaged food company serving a wide variety of food customers. The Company's operations are classified into four segments: packaged foods, food ingredients, meat processing and agricultural products. ConAgra Food's food sales accounted for approximately 87% of its fiscal 2002 net sales. In December 2001, the Company acquired the David & Sons sunflower seeds and snack business from Nestle USA, Inc., a subsidiary of Swiss-based Nestle S.A. On May 21, 2002, the Company announced an agreement to transfer its fresh beef and pork processing businesses to a new venture, 54% owned by an investor group led by Hicks, Muse, Tate & Furst, Incorporated, and 46% owned by the Company.

CAG is a foodservice manufacturer and retail food supplier, competing in multiple segments of the food business and focusing on adding value for customers in the retail food, foodservice and agricultural product channels. For the 13 weeks weeks ended 8/25/02, revenues fell 7% to $7.06 billion. Net income before acct. change rose 17% to $223.7 million. Results reflect lower prices and voulmes, offset by cost reduction efforts.
