Franklin Resources, Inc. is a diversified financial services company. Through its wholly owned direct and indirect subsidiary companies, the Company provides a broad range of investment advisory, investment management and related services to open-end investment companies, including its own family of retail mutual funds, institutional accounts, high net worth families, individuals and separate accounts in the United States and internationally. The Company's 245 "sponsored investment products" include a broad range of domestic and global/international equity, balanced, fixed-income, sector and money market mutual funds, as well as other investment products, which are sold to the public under the Franklin, Templeton, Mutual Series, Bissett and Fiduciary brand names. As of September 30, 2001, the Company had $246 billion in assets under management, with approximately 8.4 million shareholder accounts worldwide.

Financial Information
Franklin Resources and its subsidiaries derive revenues from providing investment management, administration, distribution and related services to the Franklin, Templeton and Mutual Series funds, institutional accounts and others. For the nine months ended 6/30/02, revenues rose 9% to $1.91 billion. Net income fell 9% to $364.2 million. Results reflect increased underwriting and distribution fees earned and the Fiduciary acquisition, offset by higher personnel and IT expenses.
